Bowdoinham Energy Committee By-Laws
Name: The name of the committee is the Bowdoinham Energy Committee (BEC).
Purpose: The Bowdoinham Energy Committee is committed to promoting significant reductions in energy use and emissions in town operations and providing opportunities to inform the community about how they can do the same for their homes and businesses.
Membership:
• The BEC shall consist of five members appointed by the Board of Selectmen.
• The term of office for each member is 2 years except in the initial appointments which shall be 3 two-year appointments and 2 one-year appointments. There shall be no term limits.
• If a member resigns or is unable to continue for any reason, the Board of Selectmen shall appoint an alternate to complete the member's term. Members with three or more consecutive absences without reasons considered acceptable, as determined by a majority vote of the members, shall be considered to have resigned. Vacancies shall be filled within 30 days.
• The BEC members shall work cooperatively with town departments and other town committees.
Meetings:
• Regular meetings shall be held monthly.
• Special meetings may be called by the Chair or upon the request of at least two members.
• Election of officers (Chair, Vice-Chair, and Secretary) shall be held yearly.
• The presence of three BEC members at a meeting constitutes a quorum. A meeting that has been properly scheduled, with sufficient notice, can be held without a quorum with the condition that matters requiring a vote are postponed.
• The vote of the majority of the members at a meeting shall be necessary for the adoption of any matter voted upon by the members.
• Any person interested in Bowdoinham energy efficiency may attend BEC meetings and may speak when recognized by the Chair.
Officers:
• The officers of BEC shall be a Chair, Vice-Chair and Secretary.
• The Chair of the BEC shall preside at all BEC meetings, appoint all sub-committees, represent the BEC in public. The Chair shall see that the duties of the officers of the BEC are properly discharged, that the by-laws of the BEC are observed, and that all statements required by law are made.
• The Vice-Chair of the BEC shall perform such duties as are assigned by the Chair. In the absence of the Chair, the Vice-Chair shall perform the duties of the Chair.
• The Secretary of the BEC shall keep a record of the proceedings at all meetings of the BEC, write correspondence as directed and keep all minutes, letters and replies on file.

Members:
• The duties of members are to regularly attend meetings, take an active role in the activities of the committee, and be an advocate for the mission and goals of the committee.
Sub-Committees:
• Sub-committees shall be appointed by order of the BEC as needs arise and shall not necessarily be restricted to members of the BEC.
Amendment of By-Laws:
• BEC By-laws may be amended at any regular or special meeting by a vote of four members provided that notice of the proposed amendment has been given.
Conflict of Interest:
• Any member who has direct or indirect pecuniary interest, or who for other reasons has a bias in any matter considered for vote, must make full disclosure of the interest or bias and abstain from voting or from attempting to influence a decision of the committee. Any question as to whether a member shall be disqualified from voting on a particular matter shall be decided by a majority vote of the members.
